LEGALISATION OF DOCUMENTS FOR OVERSEAS USE

Official documents issued by Singapore Government (such as business profile “as commonly known as bizfile or biz profile” or the company’s constitution) can be legalized directly. These official documents can be verified by scanning the QR code of the ACRA document using a QR Code reader.

However, non-government documents must be notarised by a Notary Public before it can be legalised. Such documents must be signed in front of the Notary/Commissioner for Oaths, with identification (e.g. Passport) provided.

If not, we can assist to arrange “online notary” meeting over Zoom, Teams, or Meet, to remotely notarize these documents. We will advise the protocol and arrangements can be made at mutually convenient time as we understand that many business owners, directors, and management are often unavailable in person.

Non-government documents can be the following documents:

AFFIDAVIT

The term “affidavit” comes from the Latin verb “affidare,” meaning “he has sworn.” If you make an affidavit, you are said to “offer” it, even though a court might compel you to swear one.

An affidavit must be sworn or affirmed before a Commissioner for Oaths, who is usually a lawyer or a notary public. An affidavit may be required for various types of court proceedings, such as civil, family, or criminal cases. Depending on the type of affidavit, it may have to follow a prescribed form and comply with the practice directions of the court.

An affidavit is also known as a sworn statement, a statement under oath, or a notarized statement.

DIRECTORS’ RESOLUTION IN WRITING (DRIW)

A Directors’ Resolution in Writing (DRIW) is a document that records the decisions made by the directors without holding a physical meeting. The secretary must keep it in the company’s minute book, either as a paper copy or an electronic file.

DRIW is an easy and fast way to deal with urgent issues because it is not always possible for all directors to attend a meeting in person. Any decision that does not require shareholder involvement can be made in writing, unless the Company’s Memorandum and Articles of Association say otherwise.

For incorporation of a subsidiary outside of Singapore, the DRIW are usually:

1.      COMPANY LETTER ON THE FORMATION OF A SUBSIDIARY

2.      CERTIFICATE OF APPOINTMENT OF REPRESENTATIVE(S)

3.      DRIW ON FORMATION OF A SUBSIDIARY

LEGALISATION, AND AUTHENTICATION

Once legalisation, all documents will be affixed with an Apostille, so that the document will be accepted in an official capacity when presented to a person, company or authority outside of Singapore.

If your document heading to a non-signatory state of the Apostille Convention, the final step is to authenticate all apostilled documents at the embassy or consular section of that country.
