🧾 New Register of Registrable Controllers (RORC) Filing Requirements from 16 June 2025

Strengthening Ownership Transparency in Singapore

With effect from 16 June 2025, all newly incorporated or registered entities in Singapore will be required to set up their private Register of Registrable Controllers (RORC) and file the same information with the Accounting and Corporate Regulatory Authority (ACRA) on the date of incorporation or registration.

This change forms part of Singapore’s continuing efforts to enhance transparency in corporate ownership and control, and to maintain its reputation as a trusted and well-regulated international business hub.

 🏢 Who Is Affected?

The new requirement applies to all companies, foreign companies, and limited liability partnerships (LLPs) that are not exempt from keeping an RORC.

Since 31 March 2017, entities have been required to maintain a private RORC at their registered office or with their appointed Corporate Service Provider (CSP).

From June 2025, in addition to maintaining this private register, entities must also lodge their RORC information electronically with ACRA.

⚠️ Penalties for Non-Compliance

Failure to maintain an RORC or to lodge accurate and timely information with ACRA is an offence.
Both the entity and its officers or partners may be prosecuted and fined up to S$25,000 upon conviction.

Please note that this filing obligation is separate from your Annual Return or Annual Declaration filing.

📋 Information Required to Be Lodged

For Individual Controllers:

  1. Full name and any aliases

  2. Residential address

  3. Email address and contact number

  4. Nationality and identification details (NRIC or passport number)

  5. Date of birth

  6. Date of becoming or ceasing to be a controller

For Corporate Controllers:

  1. Entity name and UEN (if any)

  2. Registered office address

  3. Email address and contact number

  4. Legal form and jurisdiction of incorporation

  5. Name of incorporation authority and registration number

  6. Date of becoming or ceasing to be a controller

  1. Keep all your invoices and receipts 📁 for these pre-commencement expenses.

  2. Ensure the expenses are genuinely revenue in nature (operational) and not capital in nature (long-term assets).

🔍 What Is the RORC?

The Register of Registrable Controllers (RORC) identifies the individuals or corporate entities that ultimately own or control the company — often referred to as the beneficial owners.

The introduction of ACRA’s central RORC system enables law enforcement agencies to access ownership information efficiently for investigations relating to money laundering, terrorism financing, and other financial crimes.

Importantly, the central RORC will not be open to the public. Access will be restricted to law enforcement and government authorities for regulatory purposes.
